• Abstract: Corporate Governance is the system by which companies and other organizations are directed, monitored, and encouraged, involving relationships among shareholders, the board of directors, executive management, regulatory bodies, and other stakeholders. It is related to overseeing the implementation of effective health and safety policies, plans, and performance. This study aimed to describe the importance of Corporate Governance in healthcare organizations. For the theoretical foundation of this research, the databases Virtual Health Library, Scielo, and Google Scholar were used. Inclusion criteria encompassed articles published in Portuguese and English, fully accessible, and indexed in these databases between 2015 and 2024. Keywords searched included corporate management, organizational management, and healthcare management, resulting in 11 eligible articles, which were discussed here. The findings revealed that Corporate Governance plays a crucial role in healthcare organizations as it promotes transparency, equity, and management efficiency, aligning the interests of various stakeholders such as managers, patients, shareholders, and employees. It is also essential for improving service delivery, ensuring financial sustainability, and increasing trust in administrative and operational processes.
