O objetivo do estudo foi realizar

um diagnóstico com proposições de melhorias

orientadas ao direito comercial e societário de

uma empresa do segmento metal mecânico

do município de Chapecó-SC, a fim de buscar

a melhor forma para proteção patrimonial e

sucessão societária da empresa. Com relação

aos procedimentos metodológicos utilizados no

estudo, o método científico foi o indutivo, o nível

de pesquisa foi a descritiva, o delineamento foi

o estudo de campo e o instrumento de coleta de

dados foi a entrevista. A população do estudo

foram as empresas do segmento de aços e

metais e a amostra ficou representada pela

empresa Edege Equipamento Agropecuários

Ltda. A análise e interpretação dos dados foi

qualitativa e os resultados evidenciam que

a melhor forma empresarial para proteção

patrimonial seria a criação de uma holding

empresarial e para o processo sucessório

a transformação da empresa em sociedade

anônima.

Abstract:
The purpose of this study was to

make a diagnosis by implementing improvements

based on the commercial and corporate Law

from a metal mechanic segment of a company

established in Chapecó in order to seek the best

way of asset protection and business succession

of the company. Regarding the methodological

procedure as applied to this study, the scientific

method used was the inductive method, the

drilldown level was descriptive. The study

design was carried out through field study,

and the data collection instrument was carried

through interviews. The population of the study

was the steels and metals segment companies

and the sample was represented by the Edege

Equipamento Agropecuários Ltda company.

The analysis and interpretation of data was

qualitative and the results clearly show that the

best corporate form of asset protection would

be the creation of a holding company, and for the succession procedure would be the

transformation of the company into a joint-stock company.
