DESAFIOS AO DESINVESTIMENTO ESTATAL
A alienação de participação estatal minoritária no capital social de empresas privadas ou estatais denomina-se desinvestimento, e está sujeita à desafios que serão brevemente analisados nesta pesquisa. O objetivo do presente artigo é retratar o contexto histórico, analisar a conjuntura normativa e as discussões jurisprudenciais no âmbito do Supremo Tribunal Federal e do Tribunal de Contas da União, estudando o desinvestimento da União no capital social do IRB Brasil RE, utilizando-se metodologia descritiva na busca de orientar hipóteses capazes de solucionar os problemas surgidos.

Abstract:
The sale of minority state participation in the share capital of private or state-owned companies is called divestment, and is subject to challenges that will be briefly analyzed in this research. The purpose of this article is to portray the historical context, analyze the normative conjuncture and the jurisprudential discussions within the scope of the Federal Supreme Court and the Federal Audit Court, studying the Union's divestment in the share capital of IRB Brasil RE, using methodology descriptive in search of guiding hypotheses capable of solving the problems that arose.
