Abstract: The world is undergoing rapid transformation, with immediate consequences for work relationships. The pandemic and the economic crisis drive new entrepreneurs, including those who lost their jobs and found their way of supporting themselves in entrepreneurship, others maintain their employment relationship with their employer and in their spare time decide to undertake, and still others identify problems of society and market niches and try to solve them through innovative businesses, the present study focuses on the latter, also called startups, which emerge in the context of innovation and the set of public policies that encourage innovation entrepreneurship in Brazil. Considering this scenario, we seek to answer the following questions. Is it possible for a startup to formalize as a MEI? And what are the legal and market limitations that can impact a Startup formalized as a MEI? Therefore, the objectives are to contextualize MEI's public policy, conceptualize micro-enterprises/startups based on Complementary Law n.182/2021. For this study, descriptive research was used, which was developed through the dialectical method. It is concluded that there are attractions to the legal formalization of the MEI, which was created as a public policy for social and social inclusion. Startups can be formalized through the legal entity of MEI. However, they will find it difficult to scale and grow, considering legal, management and market aspects.
